Terms of Service

1. Description of Service

StoreAI Group Inc. provides an all-in-one Shopify application that enables merchants to instantly generate fully functional ecommerce storefronts using AI (the “App” or the “Service”). The Service may include, without limitation:

• AI-generated storefronts created from product links or catalogs
• AI-written copy for product pages, collections, and website content
• AI-enhanced product image generation and editing tools
• Built-in bundling, cross-sell, and in-cart upsell functionality
• Prebuilt, conversion-optimized Shopify theme sections and templates

Any new features, tools, or services added to the App in the future will also be subject to these Terms unless stated otherwise.

2. Eligibility

By installing or using the App, you represent and warrant that:

• You are at least 18 years of age;
• You operate a Shopify-supported online store; and
• You are and will remain in compliance with all applicable laws, regulations, and Shopify’s Terms of Service.

3. Account & Access

By installing the App, you authorize StoreAI Group Inc. to access your Shopify store via Shopify’s authorized APIs in order to provide the Service. This may include accessing store data such as products, themes, orders, and other configuration details necessary for core functionality.

You are responsible for maintaining the confidentiality and security of your Shopify account and any credentials used to access the App. You are also responsible for all activity that occurs under your account, whether authorized by you or not.

4. Acceptable Use

You agree that you will not, and will not permit any third party to:

• Use the App for any unlawful, fraudulent, or unauthorized purpose;
• Copy, modify, distribute, or reverse-engineer any part of the App, except to the extent expressly permitted by applicable law;
• Attempt to gain unauthorized access to our systems, networks, or related infrastructure;
• Upload, transmit, or distribute any viruses, malware, or other harmful code;
• Use the App, our website, or any related materials for competitive analysis, benchmarking, or to build a competing product or service.

Competitor Notice

If you are a competing business, software provider, consultant, or agent acting on behalf of such entities, you are strictly prohibited from accessing, evaluating, scraping, reverse-engineering, testing, or copying any part of StoreAI Group Inc.’s products, services, or ecosystem. Any such activity will be treated as intentional infringement, and we reserve all rights to pursue legal remedies, including injunctive relief and damages.

5. Fees, Trials, and Refunds

StoreAI Group Inc. may offer a free trial period for certain plans, as displayed in the Shopify App Store or within the App.

• Unless you cancel before the end of the trial period, your subscription will automatically begin and the applicable fees will be charged via your Shopify account.
• By subscribing, you authorize StoreAI Group Inc. to charge all applicable fees through your Shopify billing account.
• All fees are non-refundable, including in cases of partial usage, early cancellation, or failure to use the App after purchase.

We may change our pricing and plan structure at any time. Any material pricing changes will be communicated through the Shopify App Store listing, within the App, or by other reasonable means.

6. Intellectual Property

All content, software, features, designs, logos, AI models, documentation, and related materials associated with the App (collectively, the “StoreAI Materials”) are the exclusive property of StoreAI Group Inc. or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for operating your Shopify store.

You may not duplicate, reproduce, rebrand, resell, or publicly expose any StoreAI Materials, nor create derivative works based on them, without our prior written consent.

7. Data & Privacy

Our collection, use, and disclosure of personal information and store data are governed by our Privacy Policy, which is incorporated into these Terms by reference. You should review the Privacy Policy carefully before using the App.

By using the App, you consent to:

• Our access to your Shopify store data as necessary to provide the Service;
• Use of cookies, logs, and similar tracking technologies; and
• Storage and processing of your data in the United States or other jurisdictions where we or our service providers operate.

8. Service Availability & Downtime

We aim to maintain high availability and performance of the App, but we do not guarantee uninterrupted or error-free operation. The App may be temporarily unavailable for maintenance, updates, or due to events beyond our reasonable control.

StoreAI Group Inc. is not liable for any loss of revenue, data, customers, or other damages resulting from Service interruptions or downtime.

9. Third-Party Services

The App may rely on or integrate with third-party services, such as Shopify APIs, analytics platforms, hosting providers, or other tools. These third-party services are governed by their own terms and policies.

StoreAI Group Inc. does not control and is not responsible for the availability, performance, or practices of third-party services. Your use of such services is at your own risk.

10. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe, in our sole discretion, that:

• You have violated these Terms;
• You have misused or abused the App; or
• You are engaged in fraudulent, harmful, or illegal activity.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of the App. You may uninstall the App at any time via your Shopify dashboard.

11. Limitation of Liability

To the maximum extent permitted by applicable law, StoreAI Group Inc., its officers, directors, employees, and affiliates shall not be liable for:

• Any indirect, incidental, special, or consequential damages;
• Any loss of profits, revenue, customers, or data; or
• Any aggregate liability exceeding the fees you paid to us for the App in the thirty (30) days preceding the event giving rise to the claim.

12. Disclaimer of Warranties

The App is provided on an “as is” and “as available” basis. StoreAI Group Inc. expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• The App will meet your specific business needs or expectations;
• The App will be uninterrupted, timely, secure, or error-free; or
• Any AI-generated content will be accurate, complete, compliant, or suitable for your particular products, brand, or audience.

You are solely responsible for reviewing, editing, and ensuring the accuracy, legality, and appropriateness of all AI-generated content before publishing. StoreAI Group Inc. assumes no liability for claims arising from AI-generated copy, images, or designs, including but not limited to trademark infringement, false advertising, or intellectual property disputes.

13. Changes to These Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify you through the App, via email, or by updating the “Effective Date” at the top of this page.

Your continued use of the App after any changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms and your use of the App are governed by the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that state for the resolution of any disputes arising out of or relating to these Terms or the App.
